The university operates through a complex organizational structure. The Governor of Tamil Nadu serves as the chancellor. The vice chancellor acts as the executive head of the entire institution. A registrar serves as the secretary of the Syndicate and manages all official records. To manage academic life, the university uses several different bodies. The history of the university began with a massive public movement. In 1839, 70,000 residents signed a petition for better education. They presented this to the Governor of Madras, Lord John Elphinstone. They wanted an English college in the city. This led to the creation of a University Board in 1840. Later, a policy called Wood's despatch suggested a systematic education system for India. Following this, the University of Madras was officially incorporated on September 5, 1857. It was organized using the model of the University of London.

As the university grew, it became a foundation for other schools. During the 19th and 20th centuries, it helped create many new universities. These include Mysore University, Osmania University, and Andhra University. At one time, its territory was very large. It stretched from Berhampur in the northeast to Trivandrum in the southwest. It also reached as far west as Bangalore and as far north as Hyderabad. The university also achieved a major linguistic milestone. Between 1926 and 1939, it published the Tamil Lexicon. This was the first dictionary published in any Indian language.

Architecture and symbols also define the university's identity. The Senate House is a famous historical monument in Chennai. It was inaugurated in 1879 and designed by Robert Fellowes Chisholm. The building uses the Indo-Saracenic style, which mixes European and Byzantine features. The university also has a unique coat of arms designed in 1857. It features a walking tiger, elephant heads, and a lotus flower. The motto is "Doctrina Vim Promovet Insitam." This translates to "Learning promotes natural talent."
